The Platform is a modular, responsive web application for simplifying and automating configuration and control tasks in customer networks. It provides functions including authentication, user management, authorization, module- and feature-based workflows, and UI options such as dark and light mode. Functions of individual modules rely on third-party APIs (for example, Cisco Meraki). For the term of the agreement, Telekom grants the Customer a non-exclusive, non-transferable, non-sublicensable right to use the Platform as intended through its authorized users. Ownership and intellectual property rights in the Platform remain with Telekom.
Certain Platform functions require connections to and access through interfaces (“APIs”) provided by third parties. The availability, scope, and performance of these functions may be affected by changes, limitations, disruptions, or discontinuation of the relevant third-party APIs. Telekom provides no guarantee in this regard and may adapt, replace, or remove functions where required by third-party APIs or for security or stability reasons. Any service levels or functional commitments in the Customer Agreement take precedence.
The Customer must ensure that only authorized persons have access to the Platform and that users are informed of and comply with these Terms of Use and any supplementary policies. Telekom may obtain acceptance of these Terms of Use during registration or login, for example through click-wrap consent. The Customer remains responsible for its users’ conduct.
The Customer and its users must keep credentials confidential, use strong passwords and, where offered, multi-factor authentication, comply with security and patching requirements, and report suspected unauthorized access without delay. The Customer is responsible for its users’ acts and omissions and for damage resulting from misconfigurations, insecure systems, or breaches of these obligations for which it is responsible.
The Platform may only be used as intended. In particular, users must not circumvent security mechanisms, perform unauthorized load tests, reverse engineer the Platform (without prejudice to Section 69e of the German Copyright Act where legally applicable), access data without authorization, interfere with system integrity or availability, or infringe third-party rights. Where there is reasonable suspicion of misuse, security risks, or legal violations, Telekom may temporarily suspend access, restrict functions, or delete accounts to the extent necessary and proportionate.
Status indicators, device states, network and uplink information, ping results, bandwidth configurations, and other information displayed in the dashboard are dynamic and may be delayed, inaccurate, or dependent on third-party systems. No guarantee is given that they are correct, complete, or current. The Customer is responsible for decisions based on this information.
Unless the Customer Agreement specifies different service levels, Telekom does not owe any particular availability. Telekom may perform regular maintenance with reasonable advance notice and take emergency measures without notice where necessary to maintain security or stability. Telekom may develop, change, or discontinue Platform functions. Material changes will be announced appropriately; use may be ended if the Customer objects. Relevant provisions of the Customer Agreement take precedence.
Telekom provides an electronic contact channel for incident reports and support requests: intelligent_network@telekom.de. Unless response or resolution times are agreed in the Customer Agreement, Telekom provides support on a commercially reasonable, best-effort basis without binding deadlines.
Where use is free of charge, there is no entitlement to the provision, development, or continuation of individual functions. Telekom may discontinue free use with reasonable notice or transition it to a paid model; the Customer will be informed in good time. Different payment arrangements in the Customer Agreement remain unaffected.
As between the parties, all rights in the Platform, including software, source and object code, designs, user interfaces, concepts, database structures, text, graphics, and other content, belong exclusively to Telekom or its licensors. The Customer receives a non-exclusive, non-transferable, non-sublicensable right of use for the term of the Customer Agreement or other authorized use, limited to intended internal business use. Making the Platform available to third parties, other than use by the Customer’s authorized users, requires Telekom’s prior written consent.
The current Telekom privacy information applies to the processing of personal data in connection with use of the Platform and is available at https://www.telekom.de/ueber-das-unternehmen/datenschutz. Where required, the parties will enter into a data processing agreement or other separate data protection agreements. Information on categories of recipients, legal bases, and third-party providers is set out in the privacy policy.
Where use is free of charge, the Platform is provided “as is”; Telekom gives no warranty that it is free from defects, merchantable, fit for a particular purpose, or non-infringing. For paid use, warranty rights are governed exclusively by the Customer Agreement.
Telekom has unlimited liability for intent, injury to life, body, or health, under the German Product Liability Act, and within the scope of an expressly assumed guarantee. Telekom is liable for gross negligence in accordance with statutory provisions. For ordinary negligence in breach of material contractual obligations, liability is limited to the typical foreseeable damage. Liability for other ordinary negligence is excluded. These limitations also benefit Telekom’s legal representatives, employees, and agents. The Customer is responsible for damage resulting from misconfigurations, failure to comply with security requirements, or unauthorized use for which it is responsible; mandatory statutory claims remain unaffected.
The right to use the Platform exists for the term of the Customer Agreement or another agreed period of use. Telekom may suspend or terminate use with immediate effect for good cause, particularly in the event of security risks, legal violations, or material breaches of contract. When authorization ends, the Customer must stop using the Platform and return or delete any confidential Telekom information received, unless statutory retention obligations prevent this.
Each party must keep the other party’s confidential information confidential and use it solely to perform the agreement. Exceptions apply to information that is publicly known without a breach, lawfully obtained from third parties, already known, or required to be disclosed by law or official or court order. Confidentiality obligations continue throughout use and for a reasonable period afterward.
Telekom may amend these Terms of Use with future effect. Telekom will provide appropriate notice of material changes, for example in the login area or by email to administrators, within a reasonable period. If the Customer objects, further use may be restricted or terminated; additional rights under the Customer Agreement remain unaffected. Changes may be made at short notice where mandatory, for example due to legal changes or security requirements.
If these Terms of Use conflict with the Customer Agreement, the Customer Agreement takes precedence. German law applies in addition, excluding the UN Convention on Contracts for the International Sale of Goods. If the Customer is a merchant, a legal entity under public law, or a special fund under public law, Telekom’s registered office is the exclusive place of jurisdiction, subject to a different agreement in the Customer Agreement.
If any provision of these Terms of Use is or becomes wholly or partly invalid, the remaining provisions remain effective. The invalid provision is replaced by the applicable statutory provision; otherwise, an appropriate provision that comes as close as possible to the intended economic purpose is deemed agreed.
